By accessing or using Bland Pay ("Service"), operated by Bland Productions LLC ("Company," "we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet these age requirements and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and the terms "you" and "your" shall refer to both you individually and the organization.
You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are solely responsible for all activity that occurs under your account, whether or not authorized by you. You must notify us immediately at [email protected] of any unauthorized access to or use of your account. We reserve the right to suspend or terminate your account at our sole discretion, without notice or liability, for any reason, including if we believe you have violated these Terms.
You agree NOT to use the Service to: (a) violate any applicable local, state, national, or international law or regulation; (b) infringe upon or violate the intellectual property rights or any other rights of any person or entity; (c) upload, post, transmit, or otherwise make available any content that is harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable; (d) distribute malware, viruses, worms, Trojan horses, corrupted files, hoaxes, or any other items of a destructive or deceptive nature; (e) attempt to gain unauthorized access to the Service, other user accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means; (f) use the Service for any unsolicited or unauthorized advertising, promotional materials, spam, junk mail, chain letters, pyramid schemes, phishing, or any other form of solicitation or fraudulent purpose; (g) scrape, crawl, spider, data mine, or use any automated system to access or collect data from the Service without our express written authorization; (h) interfere with, disrupt, or create an undue burden on the Service or the networks or services connected to the Service; (i) impersonate or attempt to impersonate any person, entity, or Bland Productions LLC employee or representative; (j) use any automated system, including without limitation robots, spiders, or bots, to access the Service without our express written permission; (k) engage in any activity that could damage, disable, overburden, or impair the proper working of the Service.
You retain ownership of any content you create, upload, post, or otherwise submit to the Service ("User Content"). By posting User Content, you grant Bland Productions LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly display, and publicly perform such User Content in connection with operating and providing the Service. You represent and warrant that you have all rights, power, and authority necessary to grant this license and that your User Content does not violate these Terms, applicable law, or any third party’s rights. We are not responsible for User Content posted by users and do not endorse any User Content. We reserve the right to remove any User Content at our sole discretion.
We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe that content available on or through the Service infringes your copyright, please send a written DMCA takedown notice to [email protected] containing the following information: (i) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material; (iv) your contact information, including your address, telephone number, and email address; (v) a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; (vi) a statement, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner’s behalf. We may terminate the accounts of users who are determined to be repeat infringers.
The Service and its entire contents, features, and functionality — including but not limited to all software, code, text, displays, images, video, audio, graphics, designs, logos, icons, trademarks, service marks, trade names, and the design, selection, and arrangement thereof — are owned by Bland Productions LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. No right, title, or interest in or to the Service or any content on the Service is transferred to you, and all rights not expressly granted are reserved by Bland Productions LLC. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, sell, or lease any of the material on the Service without the prior written consent of Bland Productions LLC.
The Service may contain links to third-party websites, services, or resources that are not owned or controlled by Bland Productions LLC. We have no control over, and assume no responsibility for, the content, privacy policies, practices, or availability of any third-party websites or services. You acknowledge and agree that Bland Productions LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. Your access to and use of third-party services is at your own risk.
Where applicable, all fees and charges associated with the Service are as set forth on the Service at the time of purchase. All fees are non-refundable unless otherwise expressly stated in writing by Bland Productions LLC. We reserve the right to change our pricing at any time, with reasonable notice provided to you. You are responsible for all applicable taxes associated with your use of the Service. Failure to pay any amounts when due may result in the suspension or termination of your access to the Service. You agree to provide current, complete, and accurate billing information.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BLAND PRODUCTIONS LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. BLAND PRODUCTIONS LLC DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICE IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM BLAND PRODUCTIONS LLC OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLAND PRODUCTIONS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF BLAND PRODUCTIONS LLC EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU PAID BLAND PRODUCTIONS LLC, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS LESS.
You agree to defend, indemnify, and hold harmless Bland Productions LLC, its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service, including but not limited to any data or content transmitted or received by you; (c) your User Content; (d) your violation of any rights of any third party, including without limitation any intellectual property, publicity, confidentiality, property, or privacy right; or (e) any claim that your User Content caused damage to a third party.
ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, INCLUDING THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, SHALL BE DETERMINED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES AND THE SUPPLEMENTARY PROCEDURES FOR CONSUMER RELATED DISPUTES THEN IN EFFECT. THE ARBITRATION SHALL TAKE PLACE IN PEORIA COUNTY, ILLINOIS, UNLESS THE PARTIES MUTUALLY AGREE OTHERWISE. THE ARBITRATOR’S DECISION SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION. YOU AGREE THAT ANY ARBITRATION UNDER THESE TERMS WILL TAKE PLACE ON AN INDIVIDUAL BASIS; CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED, AND YOU ARE AGREEING TO GIVE UP THE ABILITY TO PARTICIPATE IN A CLASS ACTION. YOU HEREBY WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
You expressly acknowledge and agree that your use of the Service is at your sole risk. You assume full responsibility for all risks associated with using the Service, including but not limited to any risks of financial loss, data loss, damage to your computer system or mobile device, or exposure to objectionable content. You are solely responsible for any damage to your computer system or mobile device or loss of data that results from the use of the Service or the download of any content through the Service.
Bland Productions LLC shall not be liable for any failure or delay in the performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, civil unrest, embargoes, acts of civil or military authorities, fire, floods, earthquakes, accidents, strikes, labor disputes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of telecommunications or internet service providers, hacking, cyber attacks, distributed denial of service attacks, power outages, or any other event or circumstance beyond the reasonable control of Bland Productions LLC.
Nothing on the Service constitutes financial, legal, tax, investment, or other professional advice. Bland Pay is a payment platform only and does not provide investment advice, financial planning, or banking services. Always consult qualified professionals for such matters.
You represent and warrant that you are not located in a country that is subject to a United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and that you are not listed on any United States government list of prohibited or restricted parties, including the Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person’s List or Entity List.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect. If such modification is not possible, the invalid provision shall be severed from the Terms, and the remaining provisions shall not be affected.
These Terms, together with the Privacy Policy and any other legal notices or agreements published by Bland Productions LLC on the Service, constitute the entire agreement between you and Bland Productions LLC concerning your use of the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and Bland Productions LLC with respect to the Service.
The failure of Bland Productions LLC to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any right or provision of these Terms shall be effective only if in writing and signed by a duly authorized representative of Bland Productions LLC. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
You may not assign or transfer these Terms, by operation of law or otherwise, without the prior written consent of Bland Productions LLC. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Bland Productions LLC may freely assign or transfer its rights and obligations under these Terms without restriction and without your consent. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding not subject to the arbitration provision above shall be brought exclusively in the state or federal courts located in Peoria County, Illinois, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.
We reserve the right, at our sole discretion, to modify, amend, or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to any new terms taking effect, by posting the updated Terms on the Service or by sending you an email notification. What constitutes a material change will be determined at our sole discretion. Changes will be posted on this page with an updated "Last Updated" date. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, in whole or in part, please stop using the Service.
